 All liabilities and obligations generated before the termination date shall survive the termination of this agreement. These Terms shall remain in effect until terminated by either party. The failure of Grreyl to exercise any right or provision in these Terms shall not constitute a waiver of such right. These Terms, together with our published policies, constitute the complete and exclusive agreement between you and our brand, replacing all previous oral or written communications.

SECTION 18: APPLICABLE LAW AND JURISDICTION

These Terms of Service and any separate agreements for the supply of products shall be governed by and interpreted in accordance with the laws of the United States (State of Hawaii).

 Our store is hosted by Shopify Inc., which provides the underlying e-commerce platform support. You acknowledge that your transaction contract is exclusively with Grreyl, and Shopify shall not be liable for the quality, safety or legality of the products sold.

SECTION 20: LOGISTICS RISKS AND OWNERSHIP TRANSFER

 Although we carefully handle order fulfillment, Grreyl shall not be liable for delays caused by external logistics carriers or customs authorities. The ownership and risk of loss of all commodities shall be transferred to the customer when we deliver the goods to the logistics carrier.

SECTION 21: INTELLECTUAL PROPERTY RIGHTS

All visual materials, product designs, brand logos and texts in the Grreyl system are protected by international copyright and trademark laws. Any unauthorized use of our brand assets is strictly prohibited.

SECTION 22: DISPUTE RESOLUTION

 Both parties agree that any disputes shall first be resolved through informal negotiation via support@grreyl.com for a period of not less than 30 days before initiating any formal legal or administrative procedures.

We reserve the right to revise or replace any part of these Terms by posting updates on our online store. You are responsible for reviewing this page regularly. Your continued use of the platform after the update shall be deemed as your acceptance of the revised Terms.
